These terms apply to DxViewer licences, free trials, updates, support and the DxViewer conversion service. DxViewer is sold to businesses only. If an individual offer or order confirmation says something different, the offer or order confirmation applies.

1. Who we are
DxViewer is provided by Docuex Ltd, a company registered in England and Wales under company number 10510167, with its registered office at Innovation Centre, Gallows Hill, Warwick, CV34 6UW, England ("we", "us"). Trading address: 29 Waterloo Place, Leamington Spa, CV32 5LA, Warwickshire, England.
Email: [email protected] · Telephone: +44 1926 732096
2. Definitions
- Customer or you: the business that orders a licence or trial.
- Software: the DxViewer app for Nextcloud or SharePoint, the viewer it contains, and any updates we provide.
- Installation: one Nextcloud server address or one Microsoft 365 (SharePoint) tenant, as named in the order or licence key.
- Conversion service: our online service that converts DWG files into a format the viewer can display, and checks licence keys.
- Plan: the licence level in the offer, for example the number of users.
- Customer data: drawings, documents, markups, photos and other content in your own system.
3. Offers and contract
- Prices are given on request. An offer is valid for 30 days unless it states otherwise.
- A contract is made when we confirm your order in writing (email is enough) or send you a paid licence key, whichever happens first.
- These terms apply in place of any terms you send us, even if we do not object to them.
- DxViewer is offered to businesses only, not to consumers. By ordering you confirm that you act for a business.
4. Free trial
- Every new Installation can be tried free of charge for 30 days, including the conversion service. In Nextcloud and SharePoint the trial starts automatically the first time the Software checks its licence.
- The trial ends automatically. There is no obligation to buy and nothing is charged.
- During the trial the Software and the conversion service are provided as they are, without the commitments in sections 9 and 12, and we may end a trial early if it is misused.
- When a trial ends without a paid licence, the Software shows a notice and the conversion service stops for that Installation. Your files stay untouched in your own system.
5. Licence
- For the term of the contract we give you a non-exclusive, non-transferable right to use the Software on the Installation and for the number of users in your Plan, for your own business purposes. This includes letting your clients and partners view drawings through client links.
- You may not sell, rent or pass on the Software, use it for other Installations, remove licence checks or notices, or copy, decompile or modify it, except where the law expressly allows this and cannot be excluded.
- Open source components in the Software remain under their own licences, which take priority for those components.
- If you need more users or another Installation, tell us and we will extend the licence at the price we agree.
6. Term, fees and payment
- Licences run monthly or yearly, as stated in the offer, from the date the paid licence starts.
- A licence renews automatically for the same period unless either party cancels in writing at least 30 days before the end of the current period (7 days for monthly licences).
- Fees are invoiced in advance for each period and are payable within 14 days of the invoice date. All prices are exclusive of VAT and other taxes, which are added where they apply.
- If a payment is overdue, we may remind you and, after a further 14 days, suspend the licence and the conversion service until payment is received. Your files stay untouched in your own system. We may also charge interest on late payments under the Late Payment of Commercial Debts (Interest) Act 1998.
- We may change prices for a following period by telling you at least 60 days before that period starts. You may then cancel at the end of the current period.
7. Conversion service
- The conversion service receives a DWG file from your Installation, converts it and sends the result back. Each file is processed in a temporary folder that is deleted straight after the conversion. We do not keep, view or use the contents of your files.
- We keep a technical log of each request (Installation, file size, time taken, result) to run the service, spot errors and count usage. The log contains no file names or contents.
- The service has fair use limits on file size, processing time and the number of requests, to keep it available for all customers. Files above these limits may be refused.
- We aim for the service to be available at all times but do not guarantee it. Maintenance is done where possible outside UK business hours. If the service is not reachable, drawings that do not need conversion (DXF, PDF, IFC and others) still open.
- Conversion is done with third party conversion software. Complex DWG files may display differently from the original CAD program (see section 12).
- On request we can set up conversion on your own server instead. This is agreed separately.
8. Your responsibilities
- You are responsible for your own Nextcloud or Microsoft 365 system, its security, user accounts and backups.
- You must have the right to process the files you open, convert or share with the Software.
- You are responsible for what your users and the people you share client links with do with the Software.
- You must not use the Software or the conversion service for anything unlawful, or in a way that harms the service or other customers, for example by sending excessive automated requests.
- You keep the licence key confidential and tell us if you think it has been misused.
9. Updates and support
- Updates and support are included in every paid licence for its term.
- Support is given by email at [email protected] on UK working days. We aim to answer within one working day.
- Support covers installing, configuring and using the Software. It does not cover problems with your own server, network, Nextcloud or Microsoft 365 system, which we can help with as paid work if you ask.
- We support the current version of the Software and the version before it. Some updates may need a current version of Nextcloud or SharePoint.
- We may change or improve features, provided the main functions of the Software are not substantially reduced during a paid period.
10. Data protection
- The Software runs in your own system. Drawings, markups and photos are stored there, not with us.
- When we process personal data on your behalf (for example names in drawings sent to the conversion service, or user counts), we act as your processor under UK GDPR and, where it applies, EU GDPR. Our data processing agreement forms part of the contract and is available on request.
- How we handle personal data for our own purposes, such as enquiries, invoicing and licence administration, is described in our privacy policy.
11. Intellectual property
- All rights in the Software, the conversion service, the DxViewer name and logo and our documentation belong to us or our licensors. You receive only the rights in section 5.
- You keep all rights in your Customer data. We use it only to provide the service to you.
- If you send us ideas or suggestions, we may use them to improve DxViewer without any obligation to you.
12. Warranty
- For paid licences we warrant that the Software will work substantially as described in our documentation. If it does not, tell us and we will fix the fault or provide a workaround within a reasonable time. If we cannot, you may end the contract and we refund fees paid in advance for the remaining period.
- DxViewer is a viewing and markup tool. Drawings, measurements and areas may differ from the original CAD program, especially with converted DWG files, PDF plans and scanned drawings. Always check dimensions that matter against the original drawing before relying on them for design, construction, ordering or other decisions.
- Apart from the above, the Software and the conversion service are provided without other warranties, as far as the law allows. We do not warrant that they will be free from errors or run without interruption.
13. Liability
- Nothing in these terms limits liability for death or personal injury caused by negligence, for fraud or fraudulent misrepresentation, or for anything else that cannot be limited by law.
- We are not liable for loss of profit, revenue, business, contracts or goodwill, for loss or corruption of data (you keep your own backups), or for any indirect or consequential loss.
- Our total liability under or in connection with each contract, in each contract year, is limited to the fees you paid for that contract in the 12 months before the event that gave rise to the claim. For free trials our liability is limited to £100.
14. Ending the contract
- Either party may end the contract with immediate effect by written notice if the other party seriously breaches these terms and does not put it right within 30 days of being asked to, or becomes insolvent.
- When the contract ends, the licence ends, the conversion service stops for the Installation and you stop using the Software. Your files and markups remain in your own system.
- Fees already paid are not refunded, except as stated in section 12.
15. Resellers
If you buy DxViewer through one of our authorised partners, your contract and invoices may be with that partner. These terms then govern your use of the Software and the conversion service.
16. General
- We may update these terms. Changes apply to new contracts and, for existing contracts, from the next renewal after we have told you about them.
- Neither party is liable for delays caused by events beyond its reasonable control.
- You may not transfer the contract without our written consent. We may transfer it to a company that takes over DxViewer, and will tell you if we do.
- Notices must be in writing; email to the address in section 1 or the address you gave us is enough.
- If any part of these terms is found invalid, the rest stays in force.
- No one other than you and us has rights under these terms under the Contracts (Rights of Third Parties) Act 1999.
- These terms and any dispute arising from them are governed by the law of England and Wales, and the courts of England and Wales have exclusive jurisdiction.
